INTERNATIONAL LAW
Our firm welcomes inquiries from a full range of international clients. This includes commercial clients from Middle Eastern and North African (MENA) countries that have business interests in New York, New Jersey, Pennsylvania or Texas. Our aim is to create an attorney/client relationship with foreign companies that is both constructive and practical.
A Focus on Helping International Companies or owners from outside the United States that Have Business Interests in New York, New Jersey, Pennsylvania or Texas.
The Middle Eastern and North African (MENA) business community operating in New York, New Jersey, Pennsylvania, or Texas has unique legal needs. Therefore, it is helpful for a domestic commercial law firm to welcome clients in NY, NJ, PA, or TX that are either subsidiaries of Middle Eastern or North African parents or are stand-alone businesses. This sort of representation may involve more than what would be necessary for a domestic United States client. There are a number of unusual areas of overlap in which the laws of other countries such as Saudi Arabia, the UAE, Qatar, Kuwait, Bahrain, Oman, and Egypt may be synergistic with state and federal laws in the domestic U.S.
This includes transactional matters involving such items as which country’s employment laws apply, the sorts of tariffs that can be assessed on products that are being marketed, or the terms of a commercial lease of equipment that may be used both domestically and abroad according to the company’s needs. Likewise, it also includes representing these clients in lawsuits taking place in the NY, NJ, PA, or TX state and federal courts, as well as in proceedings before state or federal administrative agencies.
Simply put, there is an important confluence of state, federal and international law that must be taken into account when representing international clients doing business in the United States. This often means that a commercial law firm practicing in this area will need to co-counsel with law firms located in other countries to provide a comprehensive legal strategy for complex commercial legal issues.
Some examples are:
- commercial litigation in the state and federal courts as well as administrative agency proceedings,
- regulatory filings, such as the Bureau of Economic Analysis’ (BEA) surveys of foreign direct investment in the United States, as required by the United States Department of Commerce,
- visa requirements for foreign employees and their families,
- entity formation for subsidiary companies,
- intellectual property protection, such as for example digital copyrights and trademarks, with a particular emphasis on the relationship between European Union and United States filings,
- commercial leases and the purchase of real estate,
- sale and distribution agreements,
- intra-company financing and licensing arrangements,
- employment and independent contractor agreements,
- e-commerce agreements, and
- the purchase or sale of business divisions and other commercial assets.
